By downloading, installing, accessing, or using the Ryodan Systems AG CLI Miner ("Software"), you ("User") agree to comply with and be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the Software.

The Software is not intended for use by individuals or entities located, incorporated, or otherwise established in, or residents of:
- The United States of America, including its territories and possessions.
- Countries or regions subject to comprehensive sanctions or embargoes, including but not limited to North Korea, Iran, Syria, Sudan, Cuba, and Crimea.
- Any other country or region subject to trade sanctions, embargoes, or other restrictions under the laws of any applicable jurisdiction.
Use of the Software is prohibited for:
- Individuals or entities listed on any sanctions lists, including but not limited to the U.S. Treasury Department's Specially Designated Nationals and Blocked Persons List (SDN List), the EU Consolidated Financial Sanctions List, the UN Security Council Sanctions List, and other applicable sanctions lists.
- Politically Exposed Persons ("PEPs") as defined under applicable laws and regulations, without prior approval and enhanced due diligence. By using the Software, you represent and warrant that you are not located in, under the control of, or a resident of any such country or region, and are not a sanctioned individual or PEP.
Subject to your compliance with these Terms, Ryodan Systems AG grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for its intended purpose.
You shall not:
- Copy, modify, or create derivative works based on the Software.
- Distribute, transfer, sublicense, lease, lend, or rent the Software to any third party.
- Reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law.
- Use the Software to develop any product or service that competes with the Software.
You agree not to use the Software for any unlawful or prohibited purposes, including but not limited to:
- Money laundering, terrorist financing, or any activities that violate anti-money laundering (AML) laws.
- Fraudulent activities, scams, or any deceptive practices.
- Unauthorized access to any data, network, or system.
- Transmitting any viruses, malware, or harmful code.
- Infringing upon any third-party intellectual property rights.
You agree to comply with all applicable local, state, national, and international laws, regulations, and ordinances related to your use of the Software.
You are solely responsible for maintaining the confidentiality and security of your private keys, passwords, wallet files, and any other credentials used to access or interact with the Software and associated blockchain networks. Loss or compromise of this information may result in the permanent loss of your tokens or access to the Software.
Ryodan Systems AG shall not be liable for any losses arising from unauthorized access to your accounts due to your failure to secure your credentials.
You acknowledge and accept that the use of the Software involves various technical risks, including but not limited to network outages, system errors, bugs, or exploits that could affect mining performance or the security of your assets. Ryodan Systems AG is not responsible for any losses or damages resulting from such technical risks.
The legal status of cryptocurrency mining varies across jurisdictions. You are solely responsible for ensuring that your use of the Software complies with all applicable laws, regulations, and ordinances in your jurisdiction. Ryodan Systems AG makes no representations or warranties regarding the legality of the Software in your jurisdiction.
You understand that blockchain transactions may require the payment of gas fees, which can vary significantly depending on network congestion and other factors. These fees can affect your profitability by increasing the cost of executing mining transactions. Ryodan Systems AG is not responsible for any fluctuations in gas fees or their impact on your mining activities.
Ryodan Systems AG may release updates to the Software to improve performance, security, or compatibility with network changes. It is your responsibility to ensure that the Software is up to date by installing the latest version when one becomes available. Failure to do so could result in suboptimal performance, missed opportunities, or potential security vulnerabilities.
The Software may interact with third-party services, applications, or content ("Third-Party Services"), such as wallet providers or mining pools. These Third-Party Services are not under the control of Ryodan Systems AG, and we are not responsible for their content, functionality, or practices.
The inclusion of any links or integration with Third-Party Services does not imply endorsement by Ryodan Systems AG. You access and use Third-Party Services at your own risk, and you should review their respective terms of use and privacy policies.
Ryodan Systems AG shall not be liable for any losses or damages arising from your use of or reliance on any Third-Party Services.
The Software may collect certain data necessary for its functionality. All data collection and processing activities will comply with our Privacy Policy, which is incorporated by reference into these Terms.
You are responsible for maintaining the confidentiality of any personal data you may handle while using the Software and must comply with all applicable data protection laws.
The Software is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. Ryodan Systems AG disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
The operation of the Software may be subject to interruptions, delays, or errors. Ryodan Systems AG does not warrant that the Software will be uninterrupted or error-free.
In no event shall Ryodan Systems AG, its affiliates, licensors, or service providers be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, data, use, goodwill, or other intangible losses.
- Any damages resulting from:
- Your access to or use of or inability to access or use the Software.
- Any conduct or content of any third party on the Software.
- Unauthorized access, use, or alteration of your transmissions or content.
- Technical risks, regulatory risks, or any other risks outlined in Section 7.
You agree to indemnify, defend, and hold harmless Ryodan Systems AG and its affiliates, officers, agents, employees, and partners from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your use of the Software or violation of these Terms.
All rights, title, and interest in and to the Software, including all intellectual property rights, are and will remain the exclusive property of Ryodan Systems AG and its licensors.
Any feedback, comments, or suggestions you may provide regarding the Software are entirely voluntary, and Ryodan Systems AG will be free to use such feedback without any obligation to you.
Ryodan Systems AG may provide updates or modifications to the Software at its discretion. Such updates may be required for you to continue using the Software.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on our website or within the Software. Your continued use of the Software after any changes signifies your acceptance of the new Terms.
You may terminate these Terms by discontinuing use of the Software and deleting all copies from your devices.
We may suspend or terminate your access to the Software immediately, without prior notice, if you breach any provision of these Terms or for any other reason at our sole discretion.
Upon termination, all rights granted to you under these Terms will cease, and you must destroy all copies of the Software in your possession.
These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms or the Software shall be resolved through amicable negotiations. If negotiations fail, disputes shall be submitted to the exclusive jurisdiction of the courts of Zug, Switzerland, and you consent to the personal jurisdiction of such courts.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall remain in full force and effect.
These Terms, along with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Ryodan Systems AG concerning the Software.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
You agree to comply with all applicable export and import control laws and regulations in your use of the Software. You shall not, directly or indirectly, export, re-export, or release the Software to any prohibited country or individual, or permit the use of the Software by any prohibited country or individual.
These Terms are made in the English language. Any translations are provided for convenience only. In the event of any conflict between the English version and any translation, the English version shall prevail.
