TERMS OF SERVICE

Fusion Wallet ("we," "our," or "us") provides its software services through its mobile applications and related products (collectively the "Services" or "Fusion Wallet"). Before using our Services, please read the Terms of Service (the "Terms") carefully, along with any other policies or notices on our mobile applications.

Agreement to Terms

By accessing or using any or all of the Services, you expressly acknowledge that:

  1. You have read and understood these Terms
  2. You agree to be bound by these Terms
  3. You are legally competent to enter into these Terms

If you do not agree to be bound by these Terms or any updates or modifications to these Terms, you may not access or use our Services.

WE DO NOT PROVIDE INVESTMENT OR FINANCIAL ADVICE OR CONSULTING SERVICES. WE ARE SOLELY THE PROVIDER OF FUSION WALLET AND WE DO NOT ADVISE OR MAKE RECOMMENDATIONS ABOUT ENGAGING IN DIGITAL ASSET TRANSACTIONS OR OPERATIONS. DECISIONS TO ENGAGE IN TRANSACTIONS OR PERFORM OPERATIONS INVOLVING DIGITAL ASSETS SHOULD BE TAKEN ON YOUR OWN ACCORD.

Updates to Terms or Services

We reserve the right to update or modify these Terms at any time at our sole discretion. If we do so, we'll let you know through our mobile application or through other reasonable methods of communication. Such revised Terms as posted will take effect immediately, unless otherwise indicated.

Eligibility

To be eligible to use Fusion Wallet:

  1. You must be at least eighteen (18) years old and legally competent to enter into these Terms
  2. You must not be a resident of sanctioned jurisdictions according to any trade embargoes, UN Security Council Resolutions ("UNSCR") or applicable sanctions regimes
  3. You must not be currently the subject of or subject to economic sanctions
  4. You can only use our Services if permitted under the laws of your jurisdiction

Services

Fusion Wallet is a non-custodial wallet software for digital assets such as cryptocurrencies and NFTs ("Digital Assets"), meaning you are solely in control of and responsible for your Digital Assets and private keys. You expressly acknowledge and agree that as Fusion Wallet is a non-custodial wallet software, you are solely responsible for your activity and any risk of loss at all times.

Fusion Wallet allows you to:

  • Generate wallet addresses and associated private keys that you may use to send and receive digital assets
  • View and manage your digital asset balances
  • Send and receive supported cryptocurrencies
  • View digital asset price information made available by third party service providers
  • Broadcast Digital Asset Transaction data to various supported blockchains

Wallet Address, Private Key, and Backup Capabilities

The private key is associated with the wallet address and, together, they can be used to authorize the transfer of Digital Assets to and from that wallet address. You are solely responsible for:

  • The retention and security of your private key
  • Any mnemonic phrase ("Secret Phrase") associated with your wallet
  • Keeping your wallet address, Secret Phrase, and private key access information secure

IMPORTANT: It is critical that you backup your private keys, backup phrases or passwords. Failure to do so may result in the loss of control of Digital Assets associated with your wallet. We cannot:

  • Receive or store your wallet password
  • Store your private key
  • Generate a new password for your wallet
  • Access or recover your wallet
  • Reverse transactions
  • Recover your Secret Phrase
  • Recover or protect your funds from wallet compromise due to your failure to maintain adequate security

Digital Asset Transactions

For all digital asset transactions to be completed, they must be confirmed and recorded in the Digital Asset's associated public blockchain. Such networks are decentralized, peer-to-peer networks supported by independent third parties, which we do not own, control, or operate. By using Fusion Wallet, you acknowledge and agree that:

  1. We do not have the ability to cancel or otherwise modify your transaction
  2. The transaction details you submit may not be completed, or may be substantially delayed
  3. We do not store, send, or receive Digital Assets
  4. Any transfer occurs on the relevant blockchain network and not on a network owned by us

Prohibited Activities

You agree that you will not use our Services to:

  1. Violate any laws or regulations
  2. Pay for, support, or engage in any illegal activities
  3. Engage in fraud, money laundering, or terrorist activities
  4. Violate any sanctions or trade embargoes
  5. Attempt to circumvent any security features
  6. Impersonate others or provide false information
  7. Attack or attempt to gain unauthorized access to other users' wallets
  8. Distribute malware or conduct malicious technical attacks
  9. Engage in any activity that could damage, disable, or impair the functioning of the Services

Limitation of Liability & Disclaimer of Warranties

You acknowledge and agree that we have no control over, and no duty to take any action regarding:

  1. Failures, disruptions, errors, or delays in processing Digital Assets
  2. The risk of failure of hardware, software, and Internet connections
  3. The risk of malicious software being introduced
  4. The risk that third parties may obtain unauthorized access to your wallet
  5. The risk of unknown vulnerabilities in the blockchain networks

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, we will not be liable for:

  1. Any lost profits, lost revenue, lost data, or any indirect, incidental, special, exemplary, punitive or consequential damages
  2. Any losses resulting from unauthorized access to your wallet
  3. Losses due to failed transactions
  4. Issues arising from blockchain network problems
  5. Any security issues or attacks on the wallet
  6. Your own failure to maintain adequate security of your credentials
  7. Any actions or inactions of third-party services or blockchain networks

The maximum liability for any claim against us shall not exceed one hundred U.S. dollars ($10.00).

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the federal courts located in Nigeria. You and Fusion Wallet agree to submit to the personal jurisdiction of the courts located within Nigeria for the purpose of litigating all such claims or disputes.

Indemnification

You agree to defend, indemnify, and hold harmless Fusion Wallet, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.
